This End-User License Agreement (“EULA”) governs your use of the Zentriq software products provided by Zentriq Software, a Swiss sole proprietorship of Guillaume Fernandes (UID CHE-228.383.878) (“Zentriq”, “we”, “us”), including the Zentriq Agent extension for Microsoft Dynamics 365 Business Central, the Zentriq Document Capture, and the Zentriq PunchOut Chrome extension (collectively, the “Software”).
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not install or use the Software.
Subject to your compliance with this EULA and your active subscription (where applicable), Zentriq grants you a non-exclusive, non-transferable, revocable license to install and use the Software solely for your internal business operations.
You shall not, and shall not permit any third party to:
The Software is licensed, not sold. Zentriq retains all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted to you other than those expressly set forth in this EULA.
Zentriq may, at its discretion, provide updates, upgrades, patches, or new versions of the Software. Such updates may be required for continued operation. Zentriq is not obligated to provide maintenance or support except as set forth in your applicable subscription plan.
Use of the Software is subject to our Privacy Policy. You retain ownership of all data you process through the Software. By using the Software, you grant Zentriq a limited license to process your data solely as necessary to provide and improve the Software, in accordance with our Privacy Policy and applicable data protection laws (including GDPR and the Swiss FADP).
The Software integrates with third-party services, including Microsoft Dynamics 365 Business Central, Microsoft Entra ID, and AI providers used to deliver intelligent features. Your use of such third-party services is subject to their respective terms. Zentriq is not responsible for the availability, accuracy, or content of third-party services.
The Software uses artificial intelligence to assist with tasks such as document drafting, data extraction, and natural language queries. AI-generated outputs may contain inaccuracies. You are responsible for reviewing and validating all AI-generated content before relying on it for business decisions or financial transactions.
Your right to use the Software is contingent on your active subscription (for paid plans) or compliance with the free-plan limits. Zentriq may suspend or terminate your access if you breach this EULA, fail to pay applicable fees, or for any other reason in our reasonable discretion. Upon termination, you must cease all use of the Software and uninstall any installed components. Refunds are governed by Section 4.3 (Subscriptions) and Section 4.4 (Capture & PunchOut) of the Terms of Service.
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. ZENTRIQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. ZENTRIQ DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENTRIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SOFTWARE.
ZENTRIQ’S AGGREGATE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID TO ZENTRIQ FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
You agree to indemnify and hold harmless Zentriq, its affiliates, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected to your use of the Software, your violation of this EULA, or your violation of any third-party rights.
This EULA is governed by the laws of Switzerland, without regard to its conflict of laws principles. Any dispute arising out of or relating to this EULA shall be subject to the exclusive jurisdiction of the competent courts of the Canton of Vaud, Switzerland.
This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Zentriq concerning the Software, and supersedes any prior agreements or communications.
Zentriq may update this EULA from time to time. We will notify you of material changes by posting the updated EULA on our website and, where required, by email. Continued use of the Software after such changes constitutes acceptance of the updated EULA.
